Important — Please Read Before Using TickAI
TickAI is a productivity tool designed to assist qualified auditors. It does not replace professional judgement. All outputs must be independently reviewed and verified by a qualified accounting professional before any reliance is placed upon them.
The most important thing to understand: TickAI provides AI-assisted preliminary analysis only. The auditor is solely responsible for reviewing, verifying, and forming conclusions on all outputs. TickAI accepts no liability whatsoever for audit conclusions, errors in analysis, or any reliance placed on outputs generated by the tool.
1. Acceptance of Terms
By accessing or using TickAI ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Use of the Service constitutes acceptance of these terms in full.
2. Nature of the Service
TickAI is an AI-assisted productivity tool that helps auditors with invoice data extraction and preliminary cross-matching. The Service:
- Is a productivity aid only — it is not an audit tool, audit software, or substitute for professional judgement
- Produces preliminary analysis that requires independent professional review before any reliance
- Does not constitute the performance of audit procedures
- Does not produce audit evidence as defined under any auditing standard (ISA, GAAS, or otherwise)
- Does not replace the auditor's obligation to exercise professional scepticism
3. User Responsibilities
By using TickAI, you confirm and agree that:
- You are a qualified accounting or audit professional, or acting under the supervision of one
- You will independently review and verify all outputs before placing any reliance on them
- You are solely responsible for all audit conclusions, workpapers, and reports produced using or informed by TickAI outputs
- You will not use TickAI as a substitute for professional judgement or compliance with applicable auditing standards
- You have obtained all necessary consents and permissions before uploading client data
- You are responsible for compliance with all applicable data protection laws including GDPR
4. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TICKAI DOES NOT WARRANT THAT:
- The Service will be accurate, complete, reliable, or error-free
- AI-extracted data will match the actual contents of uploaded documents in all cases
- The Service will meet your specific requirements or expectations
- The Service will be available at any particular time or location
You acknowledge that AI systems can and do make errors, and that all outputs require human review.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICKAI AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY:
- Direct, indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Audit failures, regulatory sanctions, or professional liability claims
- Errors, omissions, or inaccuracies in AI-generated outputs
- Reliance placed on any output generated by the Service
This limitation applies regardless of the theory of liability and even if TickAI has been advised of the possibility of such damages. Your sole remedy for dissatisfaction with the Service is to stop using it.
6. Data and Privacy
TickAI takes the security of your data seriously:
- Files uploaded to TickAI are processed in real time and are not permanently stored on our servers
- Uploaded documents are transmitted to Anthropic's API for processing under Anthropic's terms of service and privacy policy
- You are responsible for ensuring you have the right to upload any data you submit
- Do not upload documents containing personal data unless you have a lawful basis to do so
- TickAI does not sell or share your data with third parties beyond what is necessary to provide the Service
7. Professional Standards
Nothing in these Terms or in the Service itself modifies or overrides your obligations under applicable professional standards, including ISAs, GAAS, PCAOB standards, or the ethical requirements of your professional body. You remain solely responsible for compliance with all such standards.
8. Intellectual Property
TickAI and its underlying software are the property of their respective owners. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes only.
9. Changes to Terms
We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will indicate the date of last update at the top of this page.
10. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
